Agreement to Terms

By engaging with Aperture Health's services, you ("Member," "you," or "your") agree to be bound by these Terms of Service (the "Agreement"). This Agreement governs your relationship with Aperture Health and your use of our elite concierge medical coordination services.

Please read these terms carefully. If you do not agree to these terms, you should not engage our services.

1. Description of Services

1.1 Concierge Medical Coordination

Aperture Health provides comprehensive medical coordination and navigation services, including:

  • Personal medical coordination managed directly by Darrell Edwards

  • Connections to leading specialists, hospitals, and laboratories worldwide

  • Complete medical record management, tracking, and verification

  • Referral coordination and facilitation

  • Medical appointment scheduling and logistics

  • Test result review and explanation

  • Second opinion coordination

  • Prescription management assistance

  • Medical travel coordination

  • 24/7 access to your medical coordinator

1.2 What We Are NOT

Aperture Health is not:

  • A medical practice or healthcare provider

  • A substitute for emergency medical services

  • A health insurance provider or replacement

  • A telemedicine platform providing direct medical diagnosis or treatment

  • A medical device or pharmacy

We coordinate and navigate the medical system on your behalf. We do not diagnose, treat, or prescribe. All medical decisions remain between you and your licensed physicians.

2. Membership and Eligibility

2.1 Invitation-Only Membership

Membership in Aperture Health is by invitation only. We reserve the right to accept or decline any prospective member at our sole discretion.

2.2 Member Requirements

To become a member, you must:

  • Be at least 18 years of age (or have a parent/guardian agree on your behalf)

  • Provide accurate and complete information during enrollment

  • Have the financial capacity to meet membership obligations

  • Agree to these Terms of Service and our Privacy Policy

2.3 Family Coverage

Members may extend coverage to immediate family members. Each covered individual is bound by these terms, and the primary member is responsible for all accounts and obligations related to family coverage.

3. Fees and Payment

3.1 Annual Retainer

Membership requires an annual retainer fee, which begins at $25,000 and scales according to:

  • Scope of services required

  • Geographic coverage area

  • Number of family members covered

  • Complexity and frequency of coordination needs

The specific retainer amount will be agreed upon in writing prior to service commencement.

3.2 Payment Terms

  • Annual retainers are due in advance upon membership confirmation

  • Payment is non-refundable except as specified in Section 4.3

  • Fees may be paid via wire transfer, check, or other agreed-upon method

  • Retainer fees do not include costs for medical services, travel, or third-party expenses

3.3 Fee Adjustments

We reserve the right to adjust retainer fees annually with 90 days' written notice. You may decline the adjustment and terminate your membership as outlined in Section 4.

3.4 Third-Party Costs

You are responsible for all third-party costs, including but not limited to:

  • Physician fees and medical services

  • Hospital and facility charges

  • Laboratory and diagnostic testing

  • Prescription medications

  • Medical travel and accommodation

  • Medical records transfer fees

  • Insurance co-pays and deductibles

4. Term and Termination

4.1 Initial Term

The initial membership term is one year from the date of your first payment. The membership will automatically renew for successive one-year terms unless terminated as provided below.

4.2 Renewal

We will send a renewal notice 60 days before the end of each term. If you do not wish to renew, you must provide written notice at least 30 days before the renewal date.

4.3 Termination by Member

You may terminate your membership at any time with 30 days' written notice. Termination does not entitle you to a refund of any retainer fees already paid, except:

  • If terminated within 30 days of initial membership, you will receive a pro-rated refund minus any services already rendered

  • If we materially breach this Agreement and fail to cure within 30 days of notice

4.4 Termination by Aperture Health

We may terminate your membership immediately if:

  • You breach any provision of this Agreement

  • You provide false or misleading information

  • You engage in abusive, threatening, or inappropriate conduct toward staff or providers

  • Your account becomes delinquent

  • Continuation of the relationship becomes impractical or impossible

In cases of termination by Aperture Health due to member breach, no refund will be provided. In cases of termination by Aperture Health for other reasons, a pro-rated refund will be issued.

4.5 Post-Termination

Upon termination:

  • Your access to services will cease

  • We will provide your medical records as directed by you

  • We will maintain confidentiality of all information as required by law

  • You remain responsible for any outstanding payments

5. Member Responsibilities

As a member, you agree to:

  • Provide accurate, complete, and timely information

  • Respond to communications from Aperture Health within reasonable timeframes

  • Maintain your own health insurance coverage

  • Follow through on coordinated appointments and referrals

  • Pay all third-party medical costs directly

  • Inform us of any changes to your health status, contact information, or needs

  • Treat all staff and coordinated providers with respect

  • Maintain confidentiality of your secure access credentials

6. Confidentiality and Privacy

6.1 Your Information

We will maintain the confidentiality of your personal and health information in accordance with our Privacy Policy and all applicable laws, including HIPAA.

6.2 Relationship Confidentiality

The existence of your membership with Aperture Health is confidential. We will not disclose your relationship with us to any third party without your express consent.

7. Limitations and Disclaimers

7.1 No Medical Advice

Aperture Health does not provide medical advice, diagnosis, or treatment. All medical decisions should be made in consultation with your licensed healthcare providers. We coordinate care; we do not provide care.

7.2 No Guarantees

While we strive for excellence, we cannot guarantee:

  • Specific health outcomes or results

  • Availability of particular physicians or facilities

  • Acceptance by any provider

  • Insurance coverage or reimbursement

  • Wait times or appointment scheduling

7.3 No Emergency Services

Aperture Health is not an emergency service. In case of medical emergency, call 911 or go to the nearest emergency room immediately. Do not contact Aperture Health for emergency medical needs.

7.4 Provider Independence

All physicians, specialists, hospitals, and other healthcare providers remain independent practitioners. We do not employ, control, or supervise these providers. They are responsible for their own medical decisions and actions.

8. Limitation of Liability

8.1 Service Liability

To the fullest extent permitted by law, Aperture Health's total liability for any claims arising from or related to our services shall not exceed the amount of retainer fees paid by you in the twelve months preceding the claim.

8.2 No Consequential Damages

We are not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

  • Lost profits or business opportunities

  • Medical outcomes or complications

  • Actions or omissions of third-party providers

  • Travel delays or cancellations

  • Data loss or corruption

8.3 Medical Decisions

You acknowledge that all medical decisions are made by you and your healthcare providers. We are not responsible for medical outcomes, adverse events, or complications arising from medical care, even if we coordinated that care.

9. Indemnification

You agree to indemnify and hold harmless Aperture Health, Darrell Edwards, and all staff from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your breach of this Agreement

  • Your violation of any law or regulation

  • Your misuse of our services

  • Any false or misleading information you provide

  • Actions taken by third-party providers

10. Dispute Resolution

10.1 Governing Law

This Agreement is governed by the laws of [State/Jurisdiction], without regard to conflict of law principles.

10.2 Arbitration

Any dispute arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [City, State]. Each party shall bear its own costs.

10.3 Class Action Waiver

You agree that any proceedings to resolve disputes will be conducted on an individual basis and not in a class, consolidated, or representative action.

10.4 Exceptions

Nothing in this section prevents either party from seeking injunctive relief in court to protect confidential information or intellectual property rights.

11. General Provisions

11.1 Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Aperture Health regarding our services and supersedes any prior agreements or understandings.

11.2 Modifications

We may modify these Terms of Service at any time with 30 days' notice. Continued use of our services after changes constitutes acceptance of the modified terms.

11.3 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full effect.

11.4 Assignment

You may not assign or transfer your membership or rights under this Agreement without our written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets with notice to you.

11.5 Waiver

Our failure to enforce any provision of this Agreement does not constitute a waiver of that provision or any other provision.

11.6 Force Majeure

We are not liable for any delay or failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
